1. Agreement to Terms
By accessing relayautomation.us or engaging Relay Automation's services, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business. If you do not agree to these Terms, do not use our services.
2. Description of Services
Relay Automation provides AI-powered SMS and email reactivation workflow automation services to salons, spas, and medspas ("Business Clients"). Services include the design, build, and ongoing management of automated messaging campaigns that re-engage existing customers who have not booked an appointment in 90 or more days. All messaging is delivered via Twilio's platform on behalf of Business Clients.
3. Business Client Responsibilities
By using Relay Automation's services, Business Clients agree to:
- Provide only contact lists of individuals who have given express written consent to receive SMS communications
- Ensure all submitted contact data is accurate, lawfully obtained, and compliant with TCPA and applicable state laws
- Maintain their own records of consent for all contacts submitted to our platform
- Not submit contact lists obtained through purchased databases, data brokers, or any source that does not reflect a direct customer relationship
- Promptly notify Relay Automation of any opt-out requests received outside of the automated STOP mechanism
- Comply with all applicable laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act
4. Prohibited Uses
You may not use Relay Automation's services to:
- Send unsolicited messages to individuals who have not opted in
- Send messages that are deceptive, misleading, harassing, or illegal
- Transmit spam, phishing content, or malware
- Violate any applicable local, state, federal, or international law or regulation
- Impersonate any person, business, or entity
- Interfere with or disrupt the integrity of our platform or Twilio's infrastructure
5. Consent & Compliance Warranty
By submitting a contact list to Relay Automation, Business Clients represent and warrant that express written consent has been obtained from each recipient in accordance with TCPA, CTIA guidelines, and Twilio's Messaging Policy. Relay Automation reserves the right to reject, pause, or terminate any campaign if consent documentation cannot be verified or if compliance concerns arise.
6. Payment Terms
Service fees are outlined in the applicable service agreement or proposal. Payment is due as specified in the agreement. Relay Automation reserves the right to suspend services for overdue accounts. All fees are non-refundable unless otherwise agreed in writing.
7. Intellectual Property
All platform workflows, automation templates, and proprietary processes developed by Relay Automation remain the intellectual property of Relay Automation. Business Clients receive a non-exclusive license to use the deliverables produced for their account during the term of the service agreement.
8. Limitation of Liability
To the maximum extent permitted by law, Relay Automation shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services, including but not limited to damages resulting from non-delivery of messages, Twilio platform outages, or Business Client non-compliance with consent requirements. Our total liability shall not exceed the fees paid by the Business Client in the 30 days preceding the claim.
9. Indemnification
Business Clients agree to indemnify and hold harmless Relay Automation from any claims, damages, fines, or legal fees arising from their violation of these Terms, non-compliance with TCPA or other applicable laws, or submission of contact data without valid consent.
10. Termination
Either party may terminate the service relationship with written notice as specified in the applicable service agreement. Relay Automation may immediately suspend or terminate services for violation of these Terms, non-payment, or conduct that poses legal or reputational risk to the Company.
11. Third-Party Services
Our platform relies on third-party services including Twilio (messaging infrastructure), N8N (workflow automation), and Supabase (data storage). Relay Automation is not responsible for outages, changes, or policy updates by these providers. Use of our services is also subject to Twilio's Messaging Policy and Acceptable Use Policy.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Maricopa County, Arizona.
13. Changes to Terms
We reserve the right to modify these Terms at any time. The effective date at the top of this document reflects the most recent revision. Continued use of our services after any update constitutes acceptance of the revised Terms.
